IHT Commercial Terms & Conditions

(Schools and Educational Institutions)

At Interactive Health Technologies (IHT) we are committed to building strong, transparent partnerships with schools and educational institutions. The following Commercial Terms & Conditions provide clarity and consistency in how we structure agreements and support our customers. By outlining expectations upfront, we aim to ensure a smooth, predictable, and professional purchasing experience for both parties.

These terms apply to all quotes and purchase orders issued by IHT to schools, school districts, and educational institutions.

 

1. Purchase Order Requirement

A valid, authorized purchase order (“PO”) referencing the applicable IHT quote is required to formalize the agreement. IHT does not accept signed quotes as binding contracts. Issuance of a PO constitutes acceptance of these Terms.

 

2. Payment Obligations

Customer agrees to pay all fees outlined in the applicable quote.

Payment obligations are not contingent upon usage, implementation status, internal approvals, funding availability, board approval, or third-party reimbursement.

Customer may not withhold, delay, reduce, or offset payment except in the case of a bona fide dispute raised in good faith and communicated in writing within the applicable payment period.

 

3. Entire Agreement

The applicable quote and associated PO constitute the complete and exclusive agreement regarding commercial terms.

Any additional or conflicting terms contained in a purchase order or other customer document are rejected unless expressly agreed to in writing by an authorized representative of IHT.

Separately executed Data Privacy Agreements apply solely to data protection matters and do not modify commercial terms unless explicitly stated.

 

4. Software License (If Applicable)

If software access is included in the order:

  • Licenses are issued July 1 through June 30 unless otherwise stated in the applicable quote.
  • Software fees are non-refundable once provisioned.
  • Licenses do not renew automatically.
  • Multi-year licenses may not exceed three (3) years without executive approval.
  • Non-use does not relieve payment obligations.

 

5. Hardware Warranty (If Applicable)

IHT provides a limited one (1) year warranty on IHT-branded hardware from the date of delivery.

During the warranty period, IHT will, at its discretion, repair or replace defective products.

Except as expressly stated, IHT disclaims all other warranties, including implied warranties of merchantability and fitness for a particular purpose.

Customer is responsible for installing required firmware and software updates as provided by IHT. Failure to install required updates may void applicable hardware warranty coverage.

6. 30-Day Return Policy

Hardware may be returned within thirty (30) days of delivery with prior written authorization from IHT.

Shipping costs are non-refundable. Return shipping is the responsibility of the customer. Original outbound shipping charges may also be deducted from any applicable refund.

Software fees are non-refundable once provisioned.

 

7. Title & Risk of Loss

Title transfers upon full payment. Risk of loss transfers upon confirmed delivery.

 

8. Late Payment & Suspension

Past-due invoices may incur late charges of up to 1.5% per month or the maximum amount permitted by law.

IHT may suspend software access, support, warranty replacements, or shipments on overdue accounts.

 

9. Limitation of Liability

IHT’s total liability shall not exceed the amount paid under the applicable order.

IHT shall not be liable for indirect, incidental, special, or consequential damages.

 

10. Force Majeure

IHT is not liable for delays or failure to perform due to events beyond its reasonable control.
